Have a read of this (http://www.dpreview.com/reviews/canoneos20d/page28.asp). That's the conclusion, you should read the whole review.

Why are you unhappy with your 10D??

Answer me that and I'll tell you if its worth it.

I'm not unhappy with 10D, I really like the 10D, I have it for about 6 months, my friend wants to buy it from me, so before I sell it, I want to know it is worth it to get a 20D.

In that case, no. Better buy a nice L glass to expand your lens collection.

.........unless your friend buys it for 1400 USD!!!  Then by all means, go ahead and put that extra hundred bucks for the 20D.

I wish he's willing to pay me $1400  :P :) , I bought my 10D for 1200.00 six months ago. he's willing to pay me 1000.00 just the body only, he does not want the accessories (Grip, remote switch.....). I guess I'm going to keep my 10D since the are not much different from the 20D for about $600.00 more, that's not includes the grip and the remote switch, that's another 200.00 ouch!!.....

Realistically, if you find value in the modest pixel increase, the reasonable improvement in high-ISO noise, the improved flash performance, the improved focus system, or the other modest feature improvements, then go for the 20D. Its a better camera, but only you can decide if its "better enough" to warrant the upgrade.
