Depends on what you use the program for.
There are many improvements that you can read in detail about on Adobe's website.
Also, you'll have access to Camera Raw upgrades, if you need that.
Key things are probably the improved curves, photo merge, ... no, better go to Adobe's website. I'm too tired.

Ah, if you are on a mac, you have to upgrade. CS3 is intel, cs2 is not.
As for me, I'd upgrade.
So, if you want to follow my steps, I'm walking towards the abyss.

I would wait for CS4 at this point.

I'd wait at this point as well. Get LR2 if you don't have it instead.

If money is of any value to you, I'd wait too. Unless you really want or have legitimate NEED to pay to upgrade twice within 6 months. Rumors are CS4 will be released by end of the year.

Yep, wait. It looks like CS4 will be out before the end of the year. I do like CS3 better than CS2 and think it's worth the upgrade but CS4 is so close to release.

If the CS4 upgrade is within the next few months, then, sure, it makes sense to wait.
Except, if there is a particular feature of CS3 that you need now and would make your life so much easier and increased your productivity. Then you could make the 200$ upgrade cost several times back.
