I've never used fill, i'd have thought it filled an area. Where do you find it?
Opacity is how see-thru a layer is. 100% is it's solid and you can't see the layer underneath. 0% is it's invisible. In between you can guess.

I am running PS 7 and fill falls right under the opacity option and it seems to do the same thing...

Dunno then. Have you tried the online help?

I never really use Fill, but my understanding is that Opacity changes the opacity of the layer and any associated layer styles (i.e. drop shadow) but fill only changes the opacity of the layer itself.
