I would assume your ND is a square style filter in a Lee/Cokin type of holder so that would go on last, the filter holder would screw onto the CPL. There shouldn't be any optical difference in the order you mount them.

Like I said, shoot earlier in the day or later in the day when it's not so bright and a CPL works fine.
