24L II or the 35L are both amazing, fast primes.
the 17-40 is a solid lens too. guess it depends on which you'll need/want more.
on the 40D it would give more of a 27-64 equivalent view.

I just ordered a 17-40 L for my new 5DII. The filter size matches my 24-105L and I can go wide with an economical L lens. Just be sure to use a tripod and stop it down to at least f8.

we have a very similar line up. i previously sold my tokina 11-16 for the 17-40. originally i planned to use the tokina on the 5d2 at 16mm for UWA shots, but it just didn't make sense because I rather do landscape and wide angles on FF to capture more details than to have a designated UWA on a back up/secondary camera.

I rarely use the 17-40 on my 5d2 because the 24-70 is wide enough and it lives on my 40d as a walk around. still a better choice than having a lens that can't be used on both bodies.

Get a Samyang 35 1.4, its an amazing sharp lens even wide open, with great bokeh, colors and contrast, on 1/3 price of 35L. Its an manual focus lens, but if you can get used to it, buy it, you will have no regrets!
