Every once in a while in LR3 I get this message asking me to "Import settings from Disk" or if I should "overwrite Settings"

"The metadata for this photo has been changed by both Lightroom and another application. Should Lightroom import settings from disk or overwrite disk settings with those from the catalog?"

can anyone explain this?

BTW, the only 2 apps I use are LR3 and CS5 with OnONe and NiK plugins.

It's funny, but I never saw that until just recently when I was dealing with some photos on my workstation that I had done some work on with my laptop. I think it may have had something to do with doing something with DPP, since Lightroom doesn't write to the Raw file unless you do something to compel it to write something in (I believe it can do that with date/time info).

Anyway, since I had things the way I wanted on my workstation I told LR to Save Metadata to File, it asked if it was OK to overwrite the metadata, I said "Yes" and when it did the little warning icon that was on the files went away with no further problems.

You probably edited an image in Bridge, or added metadata there…
Clicking "Import settings from disk" might cause you to loose any editing done since the last metadata save…

Based on my experience, I think this happened because you edited the file by opening it directly (i.e. NOT opening it through LR). If you want to avoid this, then choose "Edit In..." from LR.

The OP didn't specify, but I'd imagine that the files are Raw?

This situation occurs when a LR image has been modified in LR and it has also been edited in another external app, giving two possible sets of "true" metadata. In this case, you will have to decide whether the external settings are correct, or are the ones from LR correct. If you think that the ones from the external file editing are correct, then you can choose to "Import Settings from Disk". If you decide that the Lightroom catalog settings are the more correct version, then you can choose to "Overwrite Settings". Whether or not it has anything to do with DPP, will depend on what you were doing before you got the message. My guess is that you have probably gone into one of the plugins, made some changes and then returned to LR and made some more changes. I think, also, that a lot of this depends whether or not you have the "Automatically write changes into XMP" turned on. If not, then you can use the Metadata>>Save Metadata to Files command in the Library module, or the Photo>>Save Metadata to Files command in the Develop module. HTH.
