Both are weather sealed and picture quality is at pro standard levels.

Really, the only big difference is the extra stop that the 2.8 has and the much higher cost for it. And better background blur when wide open since its a full stop more open.

However, many have the 17-40 and wouldn't give it back if that means anything to you.

The extra stop is about the only difference. On full-frame, corner performance of the 16-35 is better - sharper in the corners, and less light falloff. But that is not an issue on the 350D since you don't go out to that part of the lens. Both have very good contrast and color.

I had the 17-40 and its a nice Lens, but my brothers 16-35 is a superior lens - the extra stop makes a world of difference for trying to get indoor shots
with mine I was always struggling to get any kind of half decent shutter speed with all indoor shots

the 17-40 is a real nice lens but the extra stop is what really makes the difference
save the extra money and get the F2.8 version
