I am thinking about selling my 24-105 and getting a 24-70-II. I shoot mainly outdoors. Landscape is my passion. Is this an upgrade worth the price? Will I see a big difference is sharpness?

I own both, and I have done a lot of side by side comparison.
at 24mm, 2.8 is a clear advantage, in less distortion, better corners, less CA. this is sill present at f8 and f11. the rest of the range, no, you will not gain anything. the 24-105 does much better from 71-105.
question is, are you finding the sharpness lacking in your images from 24-105? also how important is price, size and range for some improvement at 24mm., and finally if your use is landscape, would you be happy with the 24-70 f4 and save a lot of money.

I would sell your 17-40 and pick up the 16-35 f4 IS, long before 24-70II. there you will see a huge difference. you will be also able to use that lens where 24-105 is weakest, at 24mm. the rest of the way, 24-105 ex excellent to the corners stopped down.

I have observed that for general purpose use, 24-105 excels at the cost. But if you have money, there is no limit on choices. Instead of investing in 24-70 range, 16-35 or 17-40 shines.
