The idea is that if you snag your holder with something it will release and fall off rather than toppling your gear from a tripod or breaking something.

Lee Filter Holder - made wrong? Thanks for the link, that does explain this design decision. Although my holder still clamps on to the adapter ring firmly enough for my rig to come crashing down long before it detaches.

and 2. I can only assume that it is to prevent the holder spinning freely around with no force exerted on to it. I have checked mine today and it isnt a perfect circle for the adaptor ring but it does rotate with a nice amount of resistance.
Which would make sense, if it weren't for the fact the the ring doesn't fall flush with the surface of the holder towards the brass ring; the holder is "warped" just enough to prevent the ring from being properly seated.

It works for me and alot of people, if you dont like it then dont buy it.
Thanks for that bit of advice, although I'm not sure what to make of it as it is pretty obvious that those who are pointing out this issue have already purchased the holder.

Indeed, the same for me, i have tried the Cokin P and its awful, i looked at the Cokin Z and thats awful too.
Well, it works for me and a lot of people, so... 

I don't like the Cokin filters because of their color cast, but never really had any issues with their holder. It's cheaply made, but entirely functional.
