I am considering it at the moment and really it depends on whether it processes RAW much better than the CS2 currently does. If I need Bibble or similar to get half decent results in RAW still then I won't. Haven't done the research yet but will when I get time.

Ya, camera raw almost makes the CS3 upgrade a worth it. Still over priced in my opinion. But that is par for the course for greedy evil Adobe, so I upgraded anyway.

The new RAW v4.1 Clarity setting is actually way better than anything new in CS3 itself. Does the Clarity setting appear in CS2 RAW 4.1 as well?

I think the last ACR to work with CS2 was 3.7... so no, no clarity control.

I'm still waiting for the LR 1.1 update to be able to start using that myself.

ACR 4.1 is reason alone to upgrade, plus I have Mark III and CS2's ACR will not support the RAW files.
