Better build quality, more frames per second.
I am keeping the XTi as a backup or for those times when I don't want to carry much.

My wife has a XTI and I can't stand to hold it. Now if you like the 40 d better sell the 18-55 and maybe the 17-85 and to buy the 40D. You can get a good deal with a kit 17-85 or upgrade to a 24-105.
