5D for 1D Mark II - is it a fair trade?

I'm locally trading someone my 5D for their 1D mark II, even exchange. Mine comes with a grip, 4 batteries (2 canon, 2 sterlingtek), and a grid screen. Their's comes with 2 Canon batteries and a split focus screen.

Is one of us setting ourselves up for a bad deal, or is it fairly even?
