Necessary? NO.
Highly Recommended? Absolutely. I love the 5D2 over the 40D.

The 40D has produced many wonderful shots, but the detail from the 5dII is, well, wow! Here is a shot from the other night with 70-200 f/2.8 and 580 flash. ISO 800 at f/3.2 1/3200. Very clean... Canon 40D, 5D MK II
