You can use Photoshop 's Shadow/Highlight command to lift the shadows in the first photo then warm it up a bit by adjusting the color temperature.

Too many options and choices can frustrate you. I used to use PhotoImpact for professional editing, and it cost less than the TAX you pay to buy Photoshop, and did more for my work than PS did...one-click color correction, fixed cropping sizes, layers, animation, etc.,...all things PS forgets to do easily. I bought photoshop cs5 a few months ago. I usually go in adobe bridge and load up camera raw and mess with the vibrance then go to the adjustment tool clarity +50 to the eyes and -50 to the skin to smooth it out. After that I use spot remove or whatever its called to remove scars etc. after that I have no idea what to do.
